1. Overview
These Terms of Service (“Terms”) govern access to and use of the Hospital Intel Suite (“HIS Platform” or “Platform”), operated by Hospital Intel Suite Inc. (“Company”, “we”, “our”, or “us”). By registering, accessing, or using the Platform, the Subscriber (“Client”, “you”, or “your”) agrees to these Terms.
2. Scope of Service
The HIS Platform is a cloud-based market intelligence solution designed for the global healthcare industry. It brings together proprietary data and advanced analytics on hospital infrastructure, medical equipment installations, technology penetration,
procedural volumes, market size, and healthcare workforce metrics, covering more than 65 countries worldwide. The Service is offered through subscription plans that define permitted features, data depth, and user access rights.
3. Account Registration and Access
Access is granted following review and acceptance of registration and upon issuance of a valid Purchase Order (PO). Each subscription license is assigned to named users and may not be shared, sublicensed, or transferred. The Client is responsible for
safeguarding login credentials and preventing unauthorized access.
4. License Grant and Usage Rights
The Client receives a non-exclusive, non-transferable, limited license to use the Platform and its data strictly for internal business intelligence purposes.
Permitted uses: Viewing, querying, and downloading aggregated insights for internal reports and citing HIS data internally with attribution.
Restricted uses: redistribution, scraping, reverse engineering, or using HIS data for AI/ML training without consent.
5. Subscription Term and Renewal
Subscription duration, access rights, and renewal terms are defined in the PO. Access expires at the end of the subscription term. Reminder notifications will be sent before expiry. Renewal or extension requires a new PO or written agreement.
6. Intellectual Property
All data, software, visualizations, and documentation provided through the HIS Platform are the exclusive property of Hospital Intel Suite Inc. No ownership rights are transferred. The Client receives only a right to use the materials within the defined scope and duration.
7. Data Accuracy and Updates
The Company maintains datasets through proprietary research and validation. While care is taken to ensure accuracy, the data is provided 'as is' for informational purposes. HIS makes no warranty of completeness or fitness for purpose.
8. Confidentiality
Both parties agree to maintain confidentiality of non-public information exchanged under this Agreement. The Company may anonymize usage data for system improvement without identifying the Client or its users.
9. Service Availability and Maintenance
The Platform operates on secure cloud infrastructure with targeted uptime levels. Scheduled maintenance may temporarily interrupt service, with prior notice where feasible. The Company may introduce updates or feature changes for improvement.
10. Limitation of Liability and Indemnification
The HIS Platform and all related materials are provided 'as is' and 'as available'. The Company disclaims all warranties, express or implied, including accuracy, reliability, and fitness for purpose. The Company shall not be liable for errors, omissions, or delays in data, for decisions made using HIS data, or for third-party integrations. Liability is limited to the total subscription fees paid by the Client in the preceding twelve (12) months. The Company is not liable for indirect, incidental, or consequential damages, including loss of profit, business, or data. The Company shall not be liable for any third-party claims arising from misuse or redistribution of data. The Company is not responsible for delays or service interruptions arising from force majeure events, including but not limited to natural disasters, government actions, network outages, widespread internet disruptions, or failures of third-party infrastructure or cloud service providers. HIS data may change due to periodic updates, revisions to underlying sources, or other data availability constraints. These limitations and indemnification obligations survive termination or expiry of this Agreement.
11. Termination and Suspension
Either party may terminate upon written notice if the other materially breaches the Agreement and fails to cure within fifteen (15) days. Upon termination, access will be deactivated and data use must cease. Unauthorized reproduction or misuse results in immediate suspension.
12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed under the laws of Delaware, United States. Both parties agree to the exclusive jurisdiction of the courts of Delaware.
13. Amendments
The Company reserves the right to amend these Terms to reflect operational or regulatory changes. Updates will be posted on the HIS Platform and become effective upon publication.
